Registered Agents

Illinois law requires corporations, limited liability companies, and certain other business entities formed in Illinois or authorized to do business in the state to designate a registered agent for the entity based in Illinois. When you are looking to start a business, you must include your registered agent's name and address in your Articles of Incorporation, Articles of Organization, or other business formation documents to be submitted to the Illinois Secretary of State.

A registered agent serves as the primary point of contact between the company and any other entity that would need to send important documents to the company, including state and federal governmental agencies. Registered agents are responsible for receiving paperwork such as:

  • Service of process documents regarding disputes and possible litigation;
  • Tax documents;
  • Annual report forms; and
  • Wage garnishment notices.

Aside from ensuring the foregoing communications are properly received and that you are promptly made aware of them, as part of our registered agent services, we take custody of, and manage, a business’ corporate minute book, prepare consents or minutes for all requisite meetings required to be held by boards or committees of the entity, and handle the preparation of the entity’s annual report to the Illinois Secretary of State.
